Operating in Egypt Without a Company: Your Options in 2026

Insights · By Chen ChunJie · Published 25 October 2026

A foreign business can start working in Egypt before it has an Egyptian company. It can sell from abroad, appoint a registered local distributor or agent, engage genuinely independent contractors, or hire employees through a licensed employer of record. An Egyptian company, usually a limited liability company (LLC), becomes the better choice once you will invoice Egyptian customers locally, hold a licence, or build a team your own managers run in Egypt.

Last reviewed in October 2026. Company law, tax and licensing procedures change; confirm current requirements with the General Authority for Investment and Free Zones (GAFI), the Egyptian Tax Authority and an Egyptian lawyer. General information, not legal or tax advice.

Chart of ways to operate in Egypt: without an Egyptian company through a licensed employer of record, a registered distributor or commercial agent, a representative office, independent contractors or sales from abroad; or set up an LLC or branch registered with GAFI once activity creates a permanent establishment

Why you cannot simply hire from abroad

An employee in Egypt must be registered with the National Organization for Social Insurance and have salary tax withheld every month, and employer registration requires a registered presence in Egypt. Labour Law 14 of 2025 also prohibits a business from using workers supplied by an unlicensed contractor. So a foreign company that wants people working for it in Egypt has three lawful choices: its own Egyptian entity, a licensed employer of record, or genuinely independent contractors.

Our Egypt employer of record employs people through a licensed Local Team, so you can hire before your company exists.

The tax test: permanent establishment

A foreign business pays Egyptian corporate tax on the profit of a permanent establishment (PE) in Egypt. A PE can arise from a fixed place of business, such as an office or project site, or from a person in Egypt who habitually concludes contracts on your behalf. Preparatory or auxiliary activity, such as market research, generally does not create one.

  • Hiring through an EOR moves the employment and payroll obligations to the EOR, but a PE can still arise from what the employee does for your business.
  • Sales roles that negotiate and sign contracts carry the most risk. Keep contract authority outside Egypt until you have your own company, or take tax advice.
  • Corporate tax in Egypt is 22.5% of taxable profit.

Sending your own staff to Egypt

  1. Every foreign national working in Egypt needs a work permit and residence before starting, even if your company abroad keeps paying them.
  2. Short tasks of up to 14 days need prior approval under Ministerial Decree 279 of 2025.
  3. Business visits for meetings are different from work; check what the visa you hold allows.
  4. Plan the tax position: work performed in Egypt is taxable in Egypt, subject to any tax treaty.

When to set up an Egyptian company

Set up your own company when you will invoice Egyptian customers locally, need a licence for your activity, plan a permanent team led from Egypt, or already have a PE.

StructureKey facts
Limited liability company (LLC)The most common choice; generally no fixed statutory minimum capital; at least one manager must be an Egyptian national
Joint stock company (JSC)For larger businesses and outside investment; minimum issued capital of about EGP 250,000
BranchAn extension of the foreign company, not a separate legal person; taxed in Egypt as a PE
TaxesCorporate tax 22.5%; VAT 14%, with registration once annual sales exceed EGP 500,000
  1. Choose the structure and reserve the company name.
  2. Prepare the articles and appoint the manager or board.
  3. Register with GAFI, obtain the commercial register and the tax card.
  4. Register for VAT when required and open a bank account.
  5. Register as an employer with social insurance before the first hire.

Registration typically takes several weeks. Once your company is ready, employees can move to it from an employer of record, and our Egypt payroll service can run payroll for your entity.

FAQ: operating in Egypt without a company

Not in practice. Employer registration for social insurance and salary tax requires a registered presence in Egypt. Without one, use a licensed employer of record or set up an Egyptian company.

The EOR is the legal employer, which removes the employment and payroll obligations from you. A PE can still arise from what the employee does for your business, for example concluding contracts on your behalf.

A representative office can carry out liaison and market research but may not trade or earn revenue in Egypt.

Typically several weeks from name reservation to tax card, depending on the structure and any activity licence.

Only for genuinely independent work. If you control how, when and where the person works, Egyptian law treats it as employment. See On-Demand Talent in Egypt.
